I agree (hereinafter LICENSEE), and the authorized agent Making Euphoria, LLC (hereinafter LICENSOR) of 2010 Clipper Park Rd, Suite F105, Baltimore, MD 21211, agrees that this Purchase Agreement (hereinafter the AGREEMENT) shall grant LICENSEE the rights set forth hereunder in respect of Euphoria (hereinafter the PROGRAM) on the following terms agreed to by you and the LICENSOR:
1. LICENSEE may lend the program for home-video use through its library check-out system and/or exhibit the PROGRAM to non-fee-paying audiences only at the address and adjoining facilities of the LICENSEE as written above in perpetuity in consideration of the sum of $200 for limited license for non-profit organizations, high schools, public libraries, university departments/libraries or corporations, per title, paid to LICENSOR.
2. Institutional purchase of the PROGRAM entitles LICENSEE to one (1) copy of the PROGRAM on DVD or VHS format.
3. The PROGRAM is protected under United States copyright laws. Duplication, reproduction, alteration, subleasing, television broadcast or any other commercial use (e.g. charging admission) is strictly prohibited.
4. LICENSEE shall hold harmless LICENSOR, its agents, officers and directors, and distributors and other sellers of the PROGRAM against any claims, demands, costs, and damages, including attorney's fees, whether or not a breach of these warranties is finally sustained.
